TERMS AND CONDITIONS
Welcome to AEGIS MEDISERV, also called AEGISWELL. These Terms And Conditions constitute a binding legal agreement between you (“Client”, “Beneficiary,” “Family,” “you”) and AEGIS MEDISERV (“AEGISWELL”, “we,” “us”), a Partnership Firm registered in India.
Please read these terms carefully. By using our platform or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws.
Note: These Terms may be updated from time to time. The latest version on
www.aegiswell.in is binding.
1. DEFINITIONS:
- “Firm” means AGEIS MEDISERV, its partners, and authorized representatives.
- “Agent” means a registered party authorized to assign or manage Caretakers for Client engagements.
- “Caretaker” means an individual engaged through an Agent to provide elderly home care services to Clients.
- “Client” means the end-user or beneficiary of elderly home care services arranged through the Firm.
- “Employee” means an individual directly hired, appointed, or otherwise engaged by the Firm to perform administrative, managerial, operational, or support functions on behalf of the Firm, under the Firm’s supervision and control, and who is not designated as an Agent or a Caretaker.
- “Services” means the activities undertaken by Caretakers and Employees, including assistance with daily living, utility services, diagnostic services, companionship, personal hygiene, mobility assistance, basic medical monitoring (such as blood pressure, temperature, or medication reminders), and housekeeping, but excluding any form of invasive or specialized medical treatment.
- “Platform” means the digital or physical system maintained by the Firm for coordinating and managing service requests, scheduling, and payments.
- “Consent” shall mean your agreement to the terms and conditions of these Terms of Use by accessing or using the website.
- You or “User” shall mean the end user accessing the Website, its contents, and using the Services.
- “Third Party Delivery Partner” means online platform or service providers(eg, Zepto) engaged by the Firm to deliver goods to Clients.
2. ACCEPTANCE OF TERMS:
These Terms and Conditions govern your access to and use of the AEGISWELL platform and services. By using the platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any applicable laws and regulations. AEGISWELL reserves the right to update, modify, or amend these Terms at any time without prior notice. Continued use of the platform after such updates constitutes your acceptance of the revised Terms. You are responsible for reviewing the Terms periodically to stay informed of any changes.
3. ABOUT US
- AEGISWELL is a platform that connects people (customers/family) looking to engage registered agents/caretakers to provide services/care, as well as registered agents/caretakers in AEGISWELL’s network who wish to offer personal care services.
- AEGISWELL provides non-medical assistance and support services, which may include but are not limited to the following services to elderly individuals at their residences:
- Personal care (bathing, dressing, hygiene assistance)
- Companionship and mental wellness support
- Other services as listed on the platform
- AEGISWELL does not provide any invasive medical procedures, dispense or administer prescription medication without specific written physicians’ orders and legal authorization, or function as a licensed medical faculty.
- AEGISWELL operates in compliance with applicable Indian labour and service facilitation laws. We introduce and match registered Agents/ Caretakers to Clients based on the care needs provided by you, with a view to the Carer providing care services directly to you on a self-employed basis.
- For the avoidance of doubt, AEGISWELL:
- Does not employ Agents and Caretaker;
- Does not provide employment services in the sense of hiring or managing Agents and Caretakers;
- Does not recommend or guarantee the suitability of Carers, beyond making introductions based on the information provided;
- Does not find employment for Carers, but facilitates introductions for the purpose of enabling Customers to contract directly with self-employed Carers.
4. MEMBERSHIP ELIGIBILITY
By signing this form, the Client or the Authorized Representative confirms that:
- The individual receiving services (“Beneficiary”) is a senior citizen requiring support at home.
- The service requester (Client) is either:
- The Beneficiaries themselves, or
- A legally authorized family member or guardian acting on behalf of the Beneficiary.
5. USER ACCOUNTS
- Clients must provide accurate and complete information when registering for an account.
- Clients are responsible for maintaining the confidentiality of their account credentials and for all activities conducted under their account.
- Clients agree to notify AEGISWELL immediately of any unauthorized use of their account or security breaches.
- AEGISWELL reserves the right to suspend or terminate accounts in case of violation of these Terms or misuse of the platform.
6. SERVICES OFFERED
Services provided by AEGISWELL (internal employees)
AEGISWELL’s internal staff may assist Clients with non-medical support services, including but not limited to:
- Utility bill payments
- Ordering Medicines and coordinating deliver to the Client’s residence via third-party delivery partners
- Groceries/cleaning/electrical/plumbing services
- Scheduling Doctor/Dental/Diagnostic appointments.
Services provided by Independent Agents
Independent Agents engaged through the platform provide specialized or in-home care services, including but not limited to:
- Doctor visits at home/ Physiotherapist
- Home nursing services, including post-operative care
- Companion and personal assistance services
- Dietician consultations
- Intimate sanitization and personal hygiene assistance, including bathing, grooming, incontinence care, and related support services done with professionalism, care, and respect.
Scope and limitations
- AEGISWELL acts solely as a facilitator and intermediary for connecting Clients with Independent Agents and third-party service providers.
- Services provided by Independent Agents are the sole responsibility of the respective Agent; AEGISWELL does not provide medical or invasive treatments
- Clients are responsible for providing a safe and accessible environment for all services to be delivered.
- AEGISWELL does not assume liability for any direct or indirect damages arising from the actions, omissions, or negligence of Independent Agents or third-party providers
- Any additional services or modifications beyond those listed above must be explicitly agreed upon in writing between the Client and the relevant service provider.
7. BOOKING & SCHEDULING
- Services available Monday-Saturday, 8 AM – 8 PM.
- 48-hour advance notice required for:
- Medicine Delivery, Groceries, or other deliveries
- Lab Visits
- Doctor appointment
- Utility services (electricity/plumbing/cleaning) need 48 hours’ notice
- AEGISWELL will inform of delays in advance.
8. PAYMENTS & FEES
Platform Subscription Fees:
- Clients must pay subscription or platform access fees to use AEGISWELL’s services.
- Subscription fees are due at the time of registration or renewal, as applicable.
- AEGISWELL reserves the right to modify subscription fees at its discretion. Clients will be notified of any changes in advance.
- Subscription fees are non-refundable, unless explicitly stated.
Payments for Services by Agents/Caretakers/ Online platform service providers
- Payments for services provided by independent agents or caretakers must be made directly to the agent/caretaker as agreed between the Client and the agent/caretaker.
- Payments for services provided by third-party partners must be made directly to them.
- AEGISWELL does not collect, manage, or guarantee payments for services provided by independent agents/caretakers
- Clients are solely responsible for resolving any billing or payment disputes with independent agents/caretakers.
Payment for services by AEGISWELL Employees
- AEGISWELL will share the 3rd party bills to the Clients for the utility payment services provided directly by AEGISWELL employees upon receiving the advance payment from client.
- Payment should made in advance through UPI/Cash for the completion of the utility payment services.
Payment Methods
Clients can make payments using the following methods
- Credit/debit cards
- Net banking / online bank transfers
- UPI or mobile payment platforms
- Any other method provided by AEGISWELL from time to time
Clients are responsible for ensuring that their chosen payment method is valid and authorized.
Late Renewal Payments
- AEGISWELL reserves the right to suspend access to the platform or services in the event of delayed or failed renewal payments.
Refunds & Disputes
- Subscription fees are generally non-refundable, except where explicitly stated.
- Any disputes related to payments for services by independent agents/caretakers must be resolved directly between the Client and the agent/caretaker. AEGISWELL is not responsible for such disputes.
- As per the Firm’s policy, if services are cancelled within 7 days from the date of execution of the Agreement/Registration, the client shall be entitled to a full refund.
- As per the Firm’s policy, if services are cancelled after the expiry of 7 days from the date of execution of the Agreement/Registration, the client shall not be eligible for any refund.
SUBSCRIPTIONS AND RENEWALS
- Subscriptions will be renewed manually only with the client’s consent.
- Subscription should be renewed atleast 15days prior to be expiry of contract.
9. RESPONSIBILITY OF USERS
Users agree to:
Provide a safe and respectful environment for caregivers.
- Notify any changes in health or personal circumstances that may affect service delivery. Avoid misuse or abuse of the service or caregivers
- The residence where the services will be provided is safe, accessible, and suitable for services.
- Clients must notify AEGISWELL of any inconvenience, discomfort, or issues arising from the services provided by Own staff or Agents within 24 hours of occurrence.
- Notifications should be submitted through official communication channels, such as the official website platform, email, or phone.
- Timely reporting ensures appropriate remedial action and service quality assurance.
10. PLATFORMS DISCLAIMERS
- Services delivered by Independent Agents or third-party providers are the sole responsibility of those providers. AEGISWELL disclaims liability for any damages, losses, or injuries resulting from their actions, except where caused directly by AEGISWELL employees in the scope of their employment.
- AEGISWELL does not guarantee the accuracy, reliability, or timeliness of services provided by third-party partners or Independent Agents.
- Clients are responsible for ensuring a safe and suitable environment for service delivery.
- Any direct agreements or transactions between Clients and service providers outside the platform are strictly prohibited and shall release AEGISWELL from any associated liability.
- The platform does not provide emergency medical services. Clients must contact local emergency services for urgent medical needs.
11. CONFIDENTIALITY AND DATA PRIVACY
- All personal, medical, and sensitive information shared by Clients or Beneficiaries with AEGISWELL, its employees, agents, or third-party service providers shall be kept confidential and used solely for the purpose of providing or facilitating services, except as required by law or with the Client’s consent.
- All Partners, Employees, Agents, and Caretakers must keep the client information and business processes confidential. Confidentiality survives Termination.
12. TERMINATION OF SERVICES:
We reserve the right to suspend or terminate services at our discretion in the event of:
- Breach of these terms
- Abuse or misconduct toward caregivers or staff
- Non-payment of dues
13. INTELLECTUAL PROPERTY
All content, branding, software, documentation, and materials provided on or through the AEGISWELL platform, including text, graphics, logos, images, and trademarks, are the exclusive property of AEGIS MEDISERV or its licensors. Users may not copy, modify, distribute, reproduce, or create derivative works from any such content without prior written permission from AEGIS MEDISERV.
14. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, AEGISWELL, its employees, Agents, Caretakers, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to the use of our platform or services. This includes, without limitation, damages for loss of profits, data, property, or any personal injury or health outcomes, except to the extent caused directly by AEGISWELL’s gross negligence or willful misconduct. The total aggregate liability of AEGISWELL for any claim shall not exceed the total fees paid by the Client for the services giving rise to the claim during the three months preceding the event.
15. DISPUTE RESOLUTION
In the event of a dispute:
- Any dispute arising under or in connection with this terms and conditions shall be resolved amicably through negotiation.
- In the event of failure to resolve, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed jointly by both parties. If the parties fail to agree within 30 days, the arbitrator shall be appointed under Section 11 of the Arbitration and Conciliation Act,1996 by the appropriate High Court.
- The seat of arbitration shall be Chennai, Tamil Nadu, India, and proceedings shall be conducted in English.
- The award shall be final and binding.
16. DISPUTE RESOLUTION
The Client agrees to indemnify and hold harmless AEGISWELL, its employees, Agents, and affiliates from any claims, losses, damages, or expenses (including legal fees) arising from the Client’s misuse of the platform or services, breach of these Terms, or any acts that cause harm or loss to AEGISWELL, its staff, Agents, Caretakers, or third parties.
17. AMENDMENTS/UPDATE TO TERMS
We may update these Terms from time to time. Changes will be posted on our official website [www.aegiswell.in] and will take effect immediately unless otherwise stated. Continued use of the platform after changes means you accept the revised terms.
CLIENT ACKNOWLEDGMENT & CONSENT
By signing below, the Client confirms:
- Consent to these Terms and Conditions.
- Understanding that Independent Agents or third-party providers are their responsibility.
- Acknowledge that only the services explicitly included in the selected plan are available, and that services may be chosen from the various membership plans offered by the Firm.
- Understanding of payment, subscription, and refund policies
- Acknowledge that AEGISWELL may be required to work with third-party partners for rendering services. Clients shall comply with all Firms guidelines and requirements. The Firm is not responsible for obligations, disputes, or liabilities arising from the Agent’s interaction with third-party partners,
- Confirm they have the legal authority to request and authorize these services.
